Costain has paid Serco £2.4m for its 27% stake.
The joint venture arrangement, in which Costain already held the remaining 73% interest, has a place on the Highways Agency framework to deliver new technology-led highways improvements.
Costain Serco recently set up shop at Derbyshire County Council's Markham Vale site, next to junction 29A of the M1.
